Abstract

เพื่อความสามารถในการแข่งขันในตลาด ปัจจุบันการรวมธุรกิจอาจเป็นอีกทางออกหนึ่งของกิจการหลาย ๆ กิจการ เนื่องจากการรวมธุรกิจมีข้อดีหลายประการ มีโครงสร้าง และรูปแบบที่หลากหลาย ปัจจุบันสภาวิชาชีพบัญชีในพระบรมราชูปถัมภ์ได้ประกาศใช้มาตรฐานการรายงานทางการเงิน ฉบับที่ 3 ( ปรับปรุง 2555 ) เรื่อง การรวมธุรกิจ เพื่อกำหนดวิธีการรับรู้รายการ การวัดมูลค่า เพื่อการบันทึกบัญชีและนำเสนองบการเงินที่สามารถสะท้อนผลของเหตุการณ์จริงที่เกิดขึ้นในธุรกิจ โดยมาตรฐานการรายงานทางการเงินระบุให้บันทึกบัญชีการรวมธุรกิจด้วยวิธีซื้อ และผลจากการรวมธุรกิจอาจมีค่าความนิยม หรือ กำไรจากการต่อรองราคาซื้อ เกิดขึ้น นอกจากนั้นกิจการต้องเปิดเผยข้อมูลเพื่อให้ผู้ใช้งบการเงินสามารถประเมินผลกระทบทางการเงินจากการรวมธุรกิจได้อย่างเหมาะสม In a competitive market, business combinations might be one of the solution for some organization because there are several advantages in a different structures and formats of business combinations. Nowaday, Federation of Accounting Professions adopted Thai Financial Reporting Standard (TFRS) 3 ( revised 2012) “Business Combinations” in order to present a financial statement which captures the underlying business reality. According to TFRS 3, businesses require the “Purchased Method” for combinations as acquisitions and the difference will recognized in “ goodwill ” or “ gain from bargain purchase ”. Moreover, disclosure requirements also needed by the financial statement users in order to assess the financial reasonable impact.
